On Oct. 27, Swiss drugmaker Ferring Pharmaceuticals agreed to buy Gameto, a fertility biotech built on induced pluripotent stem cells, in a deal worth up to $1.3825 billion.

That is a big number for a company that has raised $127 million since 2020, and much of it may never be paid, because Ferring tied the payments to development, regulatory and sales milestones and did not disclose how much it will pay at closing.

What Ferring is buying: a shorter route through IVF

Gameto's lead product, Fertilo, uses ovarian support cells grown from stem cells to mature eggs outside the body. Standard IVF asks patients to inject hormones daily for about two weeks so that eggs mature in the ovary.

Gameto says Fertilo cuts that stimulation to two or three days. That is the company's claim, and it is what the US Phase 3 trial is built to test.

Outside the US, the product is already in use:

  • Clinics in Peru, Mexico and Australia were using Fertilo as of August 2025.
  • Regulators in Japan, India, Singapore, Guatemala, Argentina, the Dominican Republic and Paraguay had also cleared it.
  • Gameto reported five babies born and more than 20 pregnancies at that point.

In the US, Fertilo is investigational. The Phase 3 trial, called FIRST, started in April 2025 and plans to enrol about 500 patients. Its estimated primary completion date is May 2027.

Why the milestone structure matters more than the headline

A milestone-heavy deal moves risk from the buyer to the sellers. If Fertilo misses its endpoint or stalls at the FDA, much of the $1.38 billion is never paid.

Ferring is privately owned, so it has no obligation to disclose the split. The nearest public comparison in women's health, Organon's 2021 purchase of Forendo, shows how these deals are often weighted.

How a comparable deal was split: Organon and Forendo (2021)

Forendo's upfront was about 8% of the headline. Gameto's split has not been disclosed.

Ferring's angle: protect a fertility franchise

Fertility is Ferring's core business. Its 2025 revenue passed €2.5 billion for the first time, up 10% at constant exchange rates, and the company named Menopur, its hormone product used in IVF stimulation, as the main growth driver.

That makes Fertilo both an opportunity and a hedge. A product that cuts weeks of injections down to days could eat into hormone sales, and Ferring would rather own that product than compete with it.

Ferring has been committed to helping people build families for more than 50 years.

What to watch next

  1. The interim Phase 3 readout, which Gameto guided to late 2026. A clean safety and efficacy signal would unlock the first milestone tier.
  2. Closing. The deal is subject to customary conditions, and the companies operate independently until then. No closing date was given.
  3. Any disclosure of the upfront, through investor letters or regulatory filings. Without it, the real price stays unknown.
